Customer Agreements

Your customer agreement is made up of the contract elements referenced in your Order Form.

How our terms work: Your agreement with Brightly Software is defined by your Order Form. The Order Form lists the products and services you purchased and references the contract elements that apply. Typically, your agreement includes three components:

  • Order Form. The Order Form is the commercial transaction document. It links to the other applicable parts of the contract.
  • Base Terms. The Base Terms are the foundational terms that apply to all offerings.
  • Supplemental Terms. The Supplemental Terms include additional terms that apply based on the type of offering you purchased.

Base Terms

These foundational terms apply to all Brightly offerings purchased under an Order Form.

Base Terms

Supplemental Terms

Additional terms that may apply depending on the products and services listed on your Order Form.

General Software and Cloud Supplemental Terms — Apply in addition to the Base Terms when your Order includes cloud service offerings.

Services Supplemental Terms — Apply in addition to the Base Terms when your Order includes professional services or managed services.

Artificial Intelligence Terms — If your Order includes AI‑enabled features or services, those features may also be subject to the Siemens AI Terms, as referenced in your Order Form or applicable terms.

State, Local Government and Higher Education Addendum — Applies when the customer is a state or local government entity or a public higher‑education institution, as referenced on the Order Form.

Universal Customer Agreement

This agreement applies only where specifically referenced in your Order Form or in a separately executed agreement. Unless your Order or a separately executed agreement specifically names the Universal Customer Agreement, it does not apply to your purchase. If you have questions about which terms govern your Offering, please contact your Brightly representative.
